CDL Hospitality Trust (CDLHT) has completed its acquisition of a 94.5 percent stake in four-star rated Pullman Hotel Munich, together with its office and retail components as well as the fixture, furniture and equipment used by the hotel (FF&E).
This comes after CDLHT has acquired “94.9 percent of the issued share capital of NKS Hospitality I B.V.2 (“NKS”) from Event Hospitality Group B.V.”.
The trust also acquired from Event Hospitality “94.9 percent of the issued share capital of Munich Furniture B.V., which is the legal owner of the FF&E”.
With this, CDLHT has entered into a “shareholders agreement, which sets out the shareholders’ respective rights and obligations as shareholders” of NKS and Munich Furniture.
In an SGX filing, CDLHT revealed that the “completion of the acquisition took place after the satisfaction of all the conditions precedent under the share purchase agreement which was entered into on 27 June 2017”.
